  1. Subject of the Offer
    The offer covers fast-moving consumer goods (FMCG), in particular food products such as confectionery, coffee, beverages, and other goods with a defined shelf life.
  2. Prices and Payment Terms
    • All prices are quoted net, exclusive of VAT (if applicable) and transport costs, unless otherwise agreed in writing by the Parties.
    • Payment term: the number of days from the date of the proforma invoice (unless otherwise agreed in writing).
    • The date of payment shall be the date on which the Seller’s bank account is credited with the full amount due.
  3. Retention of Title
    • The goods shall remain the property of the Seller until the full purchase price and any additional costs (including, but not limited to, transport and insurance) have been paid in full by the Buyer.
    • Until ownership is transferred, the Buyer shall store the goods properly and may not dispose of them without the Seller’s prior written consent.
  4. Delivery Terms
    • Deliveries are made in accordance with Incoterms® 2020 rules (e.g. FCA, FOB, CIF), as agreed between the Parties.
    • Risk of accidental loss or damage to the goods passes to the Buyer upon handover of the goods to the carrier or as defined under the agreed Incoterms® rule.
  5. Shelf Life / Expiry Dates
    • The Buyer acknowledges that the goods are subject to a limited shelf life and expiry date.
    • The Seller shall not be liable for loss of commercial value resulting from the expiry of the shelf life, provided that delivery has been made in accordance with the agreement.
  6. Exclusion of Warranty / Liability
    • To the maximum extent permitted by applicable law, the Seller’s liability under statutory warranty for physical or legal defects of the goods is hereby excluded.
    • The Seller shall not be liable for any indirect damages, consequential losses, or lost profits arising from the use, storage, or further resale of the goods.
  7. Claims and Complaints
    • Complaints may only concern quantitative or qualitative non-conformity of the goods with the order and must be submitted in writing within of 3 days from the date of receipt of the goods.
    • Complaints submitted after this period shall not be considered.
  8. Governing Law and Jurisdiction
    • These Terms & Conditions shall be governed by and construed in accordance with the laws of Poland.
    • Any disputes arising out of or in connection with the performance of the contract shall be settled by the competent court having jurisdiction over the Seller’s registered office, unless otherwise agreed in writing by the Parties.
